How business is done
Parinee Group raises Rs 325 crore from HNIs for commercial project in Worli
In the largest high networth individuals-led investments during the ongoing Covid19 pandemic, realty developer Parinee Group has raised over Rs 325 crore to support construction of a commercial project in Mumbai’s business district of Lower Parel-Worli.
The developer has also entered into a barter deal with a construction partner for the execution of the project, which has revenue potential of over Rs 2,250 crore.
The existing financing has also been restructured to ensure that all the funds are channelized for the construction of the project. Edelweiss Group that invested Rs 450 crore into this project has now been converted as a partner with a carved out 1.75 lakh sq ft constructed area being transferred to the institution.
“With this arrangement, investors of the project will receive back-ended exits based on the actual sales, which will be our responsibility along with the project’s execution. This will allow us to focus on execution without any financial burden during the project cycle,” Vipul Shah, Managing Director, Parinee Group, told ET.
The loans are restructured with moratorium and zero coupon and repayment is structured to provide a suitable exit from the sale of Inventory.
The total cost of the project is around Rs 1,250 crore, of which Rs 600 crore has already been incurred. While Rs 325 crore worth financial arrangement has been secured now, balance over Rs 300-crore cost will be supported through customer advances.
HNI investors and Edelweiss Group will be paid through future revenue of the project after using the same for achieving financial closure of the project, Shah said.
Spread over 2 acres, the project is planned with boutique and flexible office spaces ranging from 400 sq ft to over 2,200 sq ft area with base ticket size of Rs 1.50 crores. The project will cater to mid-size corporates, small and medium enterprises, and micro-small and medium enterprises, start-ups, professionals, family offices, and restaurants, etc.
All the necessary approvals for the project, which involves rehabilitation of 550 slum dwellers, have already been secured from the respective authorities including the MCGM and Slum Rehabilitation Authority (SRA). The developer is expected to hand over possession of additional 200 residential units for rehabilitation of government-project affected persons (PAP).
The proposed date of completion for the project is March 2026 and the construction work until the plinth level has already been completed by the developer.
The project was earlier approved under old development control regulations of 1991 and now has been revised as per the New development control and promotion regulations (DCPR) of 2034.
The Mumbai-based realty developer has so far completed over 4 million sq ft of commercial and residential projects over the last few years including a commercial project in Bandra-Kurla Complex. Currently, the company is developing projects totalling 2.5 million sq ft in various locations of Mumbai including Worli, Khar West, Andheri West, Juhu, Kandivali West and Borivali West.
Clensta raises funds to invest in waterless hygiene products
New Delhi: Delhi-based biotechnology startup Clensta International has raised an undisclosed sum from
Indian Angel Network and its maiden VC Fund, IAN Fund,
to develop waterless health and hygiene products.
The investment will help Clensta market its products directly to consumers and develop newer products in the personal hygiene category. Founded in 2016 by Puneet Gupta and Anurag S. Rathore, Clensta has launched a range of waterless personal hygiene products, including shampoo and body bath.
Clensta Waterless Body Bath and Shampoo are free of alcohol, parabens and other harmful ingredients and claims to provide a bathing experience without using a drop of water. These can be applied to the hair and body, massaged and then dried off using a towel.
The product would not only remove dirt, oil, and grease completely but also provide a moisturized look to the hair and body.
The products are already being sold on Government E-Marketplace (GeM) and supplied both to government and private hospitals and have also been considered for Indian Defence and Paramilitary Forces.
“The range of products will help address the global concern of personal hygiene and water scarcity. We endeavour to bring science and technology to introduce advanced personal hygiene products which can improve existing standards of personal hygiene and hence address a huge unaddressed market of close to ₹ 11,000 crore," Puneet Gupta said.
The firm currently sells its products to sectors such as defence and healthcare institutions. Products such as waterless body bath and shampoo can be used by patients, old people, soldiers, in the tourism and space industry and by adventure enthusiasts.

Jaiprakash Associates Ltd, the erstwhile promoter of bankrupt-Jaypee Infratech, has said its settlement proposal without any 'haircuts' should be considered by the creditors' panel, which is set to take a call on two existing resolution plans for the company this week.
State-owned NBCC and Suraksha group
are in the race to acquire
Jaypee Infratech Ltd (JIL),
which went into insolvency proceedings in August 2017.
In a letter to JIL's Interim Resolution Professional (IRP) Anuj Jain, the Chairman of Jaiprakash Associates Ltd (JAL) Manoj Gaur has urged him to consider JAL's settlement offer, which was submitted before the Supreme Court in 2019.
Asserting that JIL has more assets than liabilities, Gaur has also claimed that lenders would not be entitled to exercise their rights on loan guarantors if the realty firm is sold at a 'throw away price'.
The Committee of Creditors (CoC) and homebuyers are scheduled to meet this week to discuss whether more time should be given to NBCC and Suraksha group to submit their revised and final bids for JIL.
Urging that JAL's offer should be placed before the CoC, Gaur said the settlement of total liability of Rs 9,783 crore to secured financial creditors is proposed to be done by way of upfront payment, land swap and long terms debentures with a total value of about Rs 12,500 crore.
For homebuyers, he said that JAL would deploy funds for home construction to the tune of Rs 1,650 crore, out of which Rs 400 crore would be upfront.
Further, JAL had offered to make repayment of fixed deposits and outstanding dues of YEIDA (Yamuna Expressway Industrial Development Authority) in full, as per the plan that was submitted to the apex court in 2019.
According to Gaur, JAL had then offered to settle the dues of lenders without any haircuts and also promised to complete around pending 20,000 flats.
'JIL's lenders would not be entitled to exercise their rights against JIL's guarantors as the lenders themselves are voluntarily and willingly allowing one of the resolution applicants to acquire JIL at a throw away price,' he said in the 10-page letter dated May 23.
Further, he said that such a move would amount to unjust enrichment of one of the resolution applicants at the cost of the guarantors of JIL.
'The continuing obligation/ liability, as held by the Hon'ble Supreme Court, simultaneously provides a legal right/ entitlement to the guarantors to the loans of JIL to object to any resolution plan and/or CIRP, which envisages resolution of insolvency at a reduced value of assets or by taking huge haircuts as it has the effect of impinging on the rights of the guarantors,' he said.
JIL is undergoing Corporate Insolvency Resolution Process (CIRP) under the Insolvency and Bankruptcy Code.
In the letter, which has also been addressed to the CoC, Gaur said the present case is rarest of the rare wherein JIL's valuation is ever increasing while liabilities are constantly diminishing.
'Therefore, it is not a case wherein the lenders by an involuntary process i.e. by operation of law (insolvency proceedings) are compelled to accept one of the resolution plans and settle with their borrower (corporate debtor) after taking huge haircuts,' he said.
Noting that its offer is being 'ignored repeatedly', Gaur said he was not able to comprehend as to how and why the lenders have been unwilling to accept the proposal and 'are continuously putting resolution plans to vote which entails exorbitant haircuts'.
Gaur also said that if the lenders choose to ignore the settlement offer by JAL and himself without any haircuts, it will be a voluntary act of the lenders in their wisdom willingly to settle their dues at a reduced value.
On Monday, the CoC deferred the voting process on Suraksha group's offer to acquire JIL amid NBCC raising objections.
The CoC has decided to conduct voting on May 27-28 on whether Suraksha group and NBCC should be allowed to submit their fresh resolution plans.
This is the fourth round of bidding process as per the directions of the Supreme Court in March 2021.

The Significance of 7 Vows in a Hindu Wedding
So, what’s the first thing that comes to your mind when we say ‘weddings’? Words like fun, entertainment ? But apart from all the excitement, the one thing that is similar in all Hindu weddings is the ‘saath pheras’.
The significance and sacredness of this tradition is what makes every Hindu wedding what it is! A typical Hindu wedding consists of both the bride and groom taking the saat pheras around the holy fire (also called as the pavitra agni in the presence of family. Every phera denotes something and speaks of the commitment of the couple along with their new beginning.
Here are those 7 vows and their profound significance that not a lot of people know about.
The First Phera
“Om esha ekapadi bhava iti prathaman”
“Dhanam dhanyam pade vadet”
The first phera is an appeal to the almighty for nourishment. The couple seeks blessings by asking the Lord to make sure that they are never short of food and money to live a respectable life. The husband promises to provide everything to his wife and children; whereas, the bride solemnly swears to take up the responsibilities of the house and children.
The Second Phera
“Om oorje jara dastayaha”
“Kutumburn rakshayishyammi sa aravindharam”
In the second phera, the groom asks his wife to be his strength while he provides security and protection to his family. The bride agrees to stand by him throughout and demands her husband’s undivided attention and unconditional love.
The Third Phera
“Om rayas Santu joradastayaha”
“Tava bhakti as vadedvachacha”
In the third phera, the couple collectively prays for wisdom and wealth in their marital life, which is critical to lead a content life. They pray for a good journey and healthy children, taking an oath to stay committed to each other.
The Fourth Phera
“Om mayo bhavyas jaradastaya ha”
“Lalayami cha pade vadet”
In the fourth phera, the groom is thankful to his bride for bringing fortune and happiness in his life; whereas, the bride promises to keep him always happy. Then the couple takes a pledge in unison to take care of their family together.
The Fifth Phera
“Om prajabhyaha Santu jaradastayaha”
“Arte arba sapade vadet”
In the fifth phera, the couple prays to be blessed with healthy, obedient and strong children who are worthy of carrying the family name forward. They also promise to be responsible parents by giving them a good upbringing and inculcating the correct knowledge and values in them.
The Sixth Phera
“Yajne home shashthe vacho vadet”
In the sixth and second last phera, the couple prays for prosperity and an honest life filled with peace, joy and nobility. They pray to the almighty for a long and generous life.
The Seventh Phera
“Om sakhi jaradastayahga”
“Attramshe sakshino vadet pade”
In the seventh and final phera, the couple seals the bond by pledging their love, friendship, trust and loyalty to each other. They promise to stand by each other through thick and thin and have each other’s back whenever required. The phera also states they are now united through everything in life and stay true to this relationship come what may.
The Seventh Phera
Any marriage is incomplete without these vows and is believed to be sacred once they are conducted. The seven pheras are indeed the core of every Hindu marriage, representing the bride and the groom’s commitment to each other for the lifetime.
